By registering for and using Niora Partner ("the Platform"), you agree to be bound by these Terms of Service ("Terms") and our Partner Privacy Policy. These Terms constitute a legally binding agreement between you and Niora.
If you are registering on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

As a Partner, you may offer wellness services to Niora users, including:
Important: Partner services are for general wellness guidance only. You must not provide medical diagnosis, treatment, or advice unless you are a licensed healthcare provider acting within your scope of practice.

As a Partner, you will have access to client personal and health information. You agree to:
Violation of client privacy may result in immediate account termination and potential legal action.
Subscription Fees: You set your own subscription pricing. Clients subscribe through the Niora app and are billed through Apple's App Store.
Platform Fee: Niora retains a platform fee (currently 20%) from each subscription payment. Your earnings are the remaining percentage.
Payouts: Earnings are paid out through Stripe according to your payout schedule (weekly or monthly). You are responsible for setting up and maintaining your Stripe account.
Taxes: You are responsible for all applicable taxes on your earnings. We may be required to collect tax information and report payments to tax authorities.
Your Content: You retain ownership of content you create (meal plans, workouts, programs). By uploading content, you grant Niora a license to display and distribute it to your clients through the platform.
Platform IP: The Niora platform, branding, features, and technology are owned by Niora and protected by intellectual property laws. You may not copy, modify, or create derivative works.
Content Guidelines: All content must be original or properly licensed. Content must be accurate, safe, and appropriate. We reserve the right to remove content that violates these guidelines.

Platform Provided "As Is": The platform is provided without warranties of any kind. We do not guarantee uninterrupted service, error-free operation, or specific results.
No Employment Relationship: You are an independent contractor, not an employee of Niora. You are responsible for your own taxes, insurance, and business expenses.
Client Outcomes: We do not guarantee client acquisition, retention, or earnings. Your success depends on your services, marketing, and client satisfaction.
To the maximum extent permitted by law, Niora shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the platform.
You agree to indemnify and hold Niora harmless from any claims arising from your services, content, or violation of these Terms.
By You: You may close your Partner account at any time through your dashboard settings. Existing client subscriptions will continue until their current period ends, after which no new charges will be made.
By Niora: We may suspend or terminate your account for violation of these Terms, fraudulent activity, or conduct that harms clients or the platform. We will provide notice when possible.
Upon termination, you will receive any outstanding earnings according to the normal payout schedule. Your obligation to maintain client confidentiality continues indefinitely.
We may update these Terms from time to time. We will notify you of significant changes via email or through the Partner dashboard. Your continued use of the platform after changes take effect constitutes acceptance of the new Terms.
These Terms shall be governed by applicable law. Any disputes shall be resolved through good-faith negotiation first, and if necessary, through binding arbitration or the courts.
